ASSOCIATE GENERAL COUNSEL, CORPORATE AND COMPLIANCE

We are seeking a senior-level attorney to serve in the role of Associate General Counsel, Corporate and Compliance. The position will report to the General Counsel currently based in Arlington, VA. The ideal candidate will have a minimum of 15 years of relevant experience in a mix of a top law firm and in an in-house legal group. We are looking for an individual with robust experience managing the legal corporate and compliance team of an S&P 500 public company.
RESPONSIBILITIES
- Manage and advise company personnel on strategic M&A transactions, primarily domestic but may also include international transactions, including leading diligence, negotiations and closings of transactions;
- Advise company personnel, inside and outside the legal department, on various issues pertaining to strategic transactions;
- Structure, draft and negotiate complex transaction agreements;
- Work closely with Corporate Development and various business units and manage internal and external deal processes;
- Advise on equity and debt financings, including negotiation of credit facilities and other debt instruments;
- Manage the Company’s filings with the Securities and Exchange Commission, including quarterly, annual and current reports, proxy statements, registration statements, and Section 16 filings;
- Support investor relations and executive management on the preparation for quarterly earnings and investor engagement and outreach, ESG and proxy advisory initiatives; Â Â
- Oversee all legal aspects of the company’s stock plan administration;
- Support General Counsel to advise on general corporate matters, including preparation and distribution of board and board committee materials, development of meeting agendas, timelines and calendars, preparation of resolutions and minutes, and general contract review;
- Oversee legal entity management, director & officer appointment and orientation, and maintenance of books & records for the company and subsidiaries globally;
- Oversee and manage the organization’s compliance function to develop, disseminate, train and administer legal policies and procedures to enforce compliance with all applicable laws, regulations and rules, including federal and state securities laws, sanctions, anti-corruption, export/import, cybersecurity, and corporate conduct;
- Review public facing materials, including press releases, investor presentations and road show materials.
QUALIFICATIONS
- JD from an accredited law school with excellent academics.
- Licensed to practice in at least one jurisdiction. Willingness to apply to Virginia Bar, if not already licensed to practice in Virginia.
- At least 15 years’ relevant experience in a mix of a top law firm and in an in-house legal group.
- Excellent interpersonal, written and oral communication skills, including ability to work collaboratively and effectively with business clients and other legal department members.
- Excellent analytical and negotiating skills.
- Excellent organizational and interpersonal skills, with ability to be flexible and adapt to frequently changing workload and responsibilities.
- Acute attention to detail. Ability to multi-task.
- Strong project management skills, well organized, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure.
- Must have initiative, be able to act decisively, work independently and exercise good judgment.
- Experience with or understanding of commercial real estate business is helpful.
