The Opportunity

Reporting to the EVP General Counsel, you will advise on compliance matters under SEC rules and regulations, Nasdaq listing standards, Sarbanes-Oxley requirements and other corporate governance rules and regulations.

Your Impact

  • Review and/or prepare all SEC filings, including proxy statement, Form 10-K, Form 10-Q, Form 8-K, Section 16, Form 11-K filings, and other documentation required through SEC and exchange regulations. 
  • Interpret and advise on all aspects of securities laws and regulations including Securities Act of 1933, Securities Exchange Act of 1934, Regulation G and Regulation FD. 
  • Advise on and administer policies and procedures relating to securities law compliance and disclosure and work closely with the internal audit and finance teams with public company compliance matters. 
  • Assist with corporate secretarial functions, including preparation and review of Board and Committee materials and coordination of Board and Committee meetings. 
  • Advise and assist with planning and executing the Company’s Annual Meeting of Stockholders. 
  • Monitor insider trading policy compliance and prepare and assist with Section 16 filings. 
  • Keep current on SEC and Nasdaq rules and regulations. 
  • Collaborate effectively with other specialists, internal lawyers and other functions on securities, corporate governance and compliance matters.

What You Bring

  • The ideal candidate will have at least 5-8 years of corporate securities experience at a major law firm and/or in-house legal department.
  • Hands on experience in a publicly traded company.
  • Strong expertise on the ’33 and ’34 Act and Nasdaq regulations.
  • Detail oriented, with demonstrated ability to exercise good judgment and be able to work independently in a fast-paced environment.
