Senior Director, Legal Counsel (Part-Time)

Ventyx is a clinical-stage biopharmaceutical company focused on developing innovative oral medicines for patients living with autoimmune and inflammatory disorders. We believe our ability to efficiently discover and develop differentiated drug candidates will allow us to address important unmet medical needs with novel oral therapies that can shift inflammation and immunology markets from injectable to oral drugs. Our current pipeline includes internally discovered clinical programs targeting NLRP3, S1P1R and TYK2, positioning us to become a leader in the development of oral immunology therapies for peripheral and neuroinflammatory diseases. 

The Opportunity:  Senior Director, Legal Counsel (Part-Time)

The Sr. Director, Legal Counsel will provide legal guidance across all facets of the company, including transactions, corporate governance and legal operations. The position reports to the VP of Corporate & Legal Affairs.

What you will contribute:

• Partner with the existing Legal team to share and manage all legal duties for the company, adapting to areas of expertise or growth as needed
• Oversee SEC compliance, ensuring adherence to all regulatory requirements
• Review and negotiate operational contracts, including MSAs, CTAs, NDAs, and other agreements
• Assist with managing corporate governance programs, including Board of Directors meetings, and equity plan management
• Guide public relations and investor relations tasks, such as reviewing press releases, advising on public speaking engagements
• Address employment law matters, including offer letters, employee investigations, litigation, severance plans, and compensation cycles
• Collaborate with IT department on privacy and security initiatives
• Lead litigation and regulatory investigations as they arise
• Drive improvements in department processes and efficiency while developing and mentoring the internal legal team

  What we seek:

• 8+ years of experience in-house or at a law firm, with a strong background in contracts, corporate governance or public company compliance 
• In-house experience a plus, but not required
• Active license to practice law in California, or another state subject to qualifying for California’s Registered In-House Counsel Program
• J.D. from ABA accredited law school
• Confident and competent when interacting with varying levels of internal/external management; raising issues or challenges in a productive and mature manner, building strong positive relationships
• Strong negotiation skills; can effectively drive discussions and decisions toward desired end-results
• Strong writing skills with extremely high attention to detail
• Excellent project management skills; can prioritize multiple tasks and goals to ensure the timely, on-target accomplishment
• Strong interpersonal, verbal communication and influencing skills: can influence without authority and has proven experience building and cultivating relationships with key partners and stakeholders, both internally and externally
• Motivated to work in a fast-paced, high accountability environment
• Demonstrated ability to learn, and prioritize multiple responsibilities independently; remove barriers and drive projects to completion
• Ability to strike a balance between independent work and team interaction; be a team player in a cross-functional team
• Proficiency in Microsoft Office and other productivity tools with an aptitude to learn new software and systems

The anticipated annualized (if Full-Time) base salary range for this role is $270,000 - $320,000.
